Hotel Lease Agreement

This Hotel Lease Agreement ("Agreement") is entered into effective as of [Date], by and between [Your Company Name] ("Lessee") and [Lessor's Name] ("Lessor"). These parties are collectively referred to as the "Parties."

Recitals

WHEREAS, Lessor is the lawful owner of the property located at [Property Address] (the "Leased Premises");

WHEREAS, Lessee desires to lease the Leased Premises for the purpose of operating a hotel and related hospitality services, and Lessor agrees to lease the Premises to Lessee under the terms set forth herein;

WHEREAS, the Parties wish to set forth the terms and conditions upon which the Leased Premises will be leased to the Lessee;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:

1. Lease Premises

1.1 Premises

The Lessor grants the Lessee the exclusive right to occupy and utilize the Leased Premises located at [Property Address], which are deemed suitable for the operation of a hotel and related hospitality services. This lease includes all areas within the property boundary, including but not limited to guest rooms, lobbies, dining areas, recreational facilities, parking spaces, and any additional structures designated for hotel use. The Lessee agrees to operate the premises in compliance with all applicable local, state, and federal laws and ordinances, including but not limited to zoning laws, health and safety regulations, and hospitality standards. 2. Term of Lease

Both parties agree to enter renewal discussions in good faith at least six months prior to the expiration of the current term, providing ample time to agree on adjustments and ensure seamless continuation of the hotel operations.

3. Rent

3.1 Payment Terms

The Lessee shall pay to the Lessor an annual rent amounting to [amount] USD, subdivided into monthly payments of [monthly amount] USD due on the first of each month. This rent reflects the fair market value of the property as agreed upon by both parties, considering the location, property condition, and the intended use of the property. 4. Security Deposit

4.1 Deposit Amount

At the initiation of this Agreement, the Lessee shall provide a security deposit in the sum of [amount] USD. This deposit serves as financial assurance for the Lessor against potential default on lease obligations or damages to the property beyond normal wear and tear. The security deposit is a standard requirement, reflecting a commitment to maintaining the property in good standing.

4.2 Return of Deposit

Upon the termination or expiration of this Agreement, the security deposit will be returned to the Lessee, less any deductions for necessary repairs not related to ordinary wear and tear or outstanding rent. A detailed statement of any deductions will be provided to the Lessee, ensuring transparency in the final settlement of the deposit.

5. Maintenance and Repairs

5.1 Lessor's Responsibilities

The Lessor is obligated to maintain the structural integrity of the Leased Premises, including but not limited to the building’s foundation, exterior walls, and roofing systems. This responsibility ensures that the property remains in suitable condition for its intended use and complies with building codes and safety standards.

5.2 Lessee's Responsibilities

The Lessee is responsible for the interior maintenance of the Leased Premises, including repairs and upkeep of all fixtures, furniture, and equipment provided by the Lessee. The Lessee must also address any damage caused directly by its employees, guests, or patrons promptly and to a standard that maintains the property’s quality and compliance with health and safety standards.

6. Utilities

The Lessee will assume financial responsibility for all utilities associated with the property, including water, electricity, gas, internet, and telephone services. This arrangement requires the Lessee to establish accounts with utility providers and manage payments directly, ensuring uninterrupted service essential for hotel operations.

7. Insurance

7.1 Liability Insurance

The Lessee shall procure and maintain comprehensive general liability insurance to cover potential claims of bodily injury or property damage related to the hotel’s operations. This insurance protects both the Lessee and the Lessor from significant financial loss and legal liabilities.

7.2 Property Insurance

Additionally, the Lessee is required to secure property insurance that covers all movable property and equipment within the Leased Premises. This coverage should reflect the full replacement value of the contents and include the Lessor as an additional insured party, providing further financial protection against loss or damage.

8. Indemnification

The Lessee agrees to indemnify and hold the Lessor harmless from any losses, expenses, damages, and liabilities, including legal fees, that arise from the Lessee’s operation of the hotel. This indemnification extends to claims made by third parties, including guests and employees, and covers incidents occurring within the Leased Premises and areas under the control of the Lessee, reinforcing the Lessee’s responsibility for maintaining a safe and compliant operation.

9. Default

9.1 Notice of Default

In the event of default by either Party, the non-defaulting Party shall give written notice to the defaulting Party specifying the nature of the default.

9.2 Cure Period

The defaulting Party shall have thirty (30) days from receipt of notice to cure the default.

9.3 Remedies

If the default is not cured within the specified period, the non-defaulting Party may terminate this Agreement and pursue legal remedies.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [State]. Disputes arising hereunder shall be adjudicated in the courts of [State].

11. Miscellaneous

11.1 Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, agreements, or understandings of any kind.
